1. Acceptance of Terms

By accessing or using the Ambulances.com dealer wholesale portal ("Platform"), you agree to be bound by these Dealer Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you, as an authorized representative of your dealership ("Dealer," "you"), and NERV Inc., operating as Ambulances.com ("Company," "we," "us").

2. Eligibility & Account Approval

The Platform is restricted to licensed emergency vehicle dealers operating within the United States. To obtain access, you must:

• Hold a valid, active dealer license issued by your state of operation.
• Submit a completed dealer application, including proof of licensure.
• Receive written approval from Ambulances.com.

We reserve the right to deny, suspend, or revoke any account at our sole discretion, including but not limited to cases of license expiration, misrepresentation, or violation of these Terms.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. Each account is issued to a single dealership and may not be shared, transferred, or sublicensed to any third party.

4. Wholesale Pricing & Listings

All pricing displayed on the Platform represents dealer-to-dealer wholesale pricing and is confidential. You agree not to publicly disclose, screenshot, or redistribute wholesale pricing information to any non-dealer party, including but not limited to retail consumers, media outlets, or competing platforms.

Listing information, including vehicle specifications, mileage, condition, and photography, is provided by the selling dealer. Ambulances.com does not independently verify the accuracy of listing data and makes no warranty regarding the condition, fitness, or merchantability of any listed vehicle.

5. Transactions Between Dealers (Not available during Early Access)

All purchase and sale transactions facilitated through the Platform are agreements between the buying dealer and the selling dealer. Ambulances.com acts solely as a marketplace and is not a party to any transaction. We do not guarantee the performance, delivery, or title of any vehicle. Buyers and sellers are independently responsible for conducting their own due diligence, title verification, transportation arrangements, and compliance with applicable state and federal regulations.

6. Fees

Ambulances.com may charge listing fees, transaction fees, or subscription fees for use of the Platform. All applicable fees will be disclosed prior to the action that incurs the fee. Fees are non-refundable unless otherwise stated in writing.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any purpose other than legitimate dealer-to-dealer wholesale transactions.
• List vehicles you do not own or are not authorized to sell.
• Submit false, misleading, or materially incomplete listing information.
• Engage in price manipulation, bid rigging, or other anticompetitive behavior.
• Attempt to gain unauthorized access to any part of the Platform or its systems.
• Scrape, crawl, or extract data from the Platform by automated means.
• Redistribute wholesale pricing information to non-dealer parties.

8. Intellectual Property

All content, design, trademarks, and technology associated with the Platform are the property of NERV Inc. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Ambulances.com and NERV Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform or any transaction facilitated through it. Our total liability for any claim shall not exceed the fees you have paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Ambulances.com, NERV Inc., and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, or any transaction in which you participate.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, upon notice to the email address associated with your account. You may terminate your account by contacting us in writing. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 4, 9, 10, and 12) shall remain in effect.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Platform at least thirty (30) days prior to taking effect. Continued use of the Platform after such notice constitutes acceptance of the revised Terms.
